Senior Counsel

The Senior Counsel will help shape our legal services, counseling our clients with clear and concise contract drafting, communicating with clients' internal and external stakeholders, leading complex commercial negotiations, and providing counsel on general risk management.

This role is for someone who is committed to offering best-in-class legal services and has a desire to be a proactive strategic partner.ResponsibilitiesLead the negotiation of SaaS agreements for clients negotiating with Fortune 500 customers, and identify, coordinate and resolve issues for subject matter expert reviewSupport clients' business units with structuring and negotiating a variety of transactions relating to product commercialization and corporate development, including early-stage investments, joint ventures, and mergers and acquisitionsProvide general counsel and partner with third party subject matter experts to efficiently lead a comprehensive legal strategyAssist with corporate governance processes including managing internal corporate actions, charters, bylaws, and board meeting materialsCollaborate with the Managing Counsel on business development activities to drive firm growthOperate with limited supervision, demonstrate sound judgment and an ability to independently and effectively manage priorities, and proactively identify when to escalate issues with internal and client stakeholdersQualificationsJD from a top tier law school and excellent academic credentialsAdmission to the state bar where the candidate resides6+ years of experience at a law firm (AmLaw 100 preferred), in-house, or preferably bothAbility to deliver polished work product and effectively collaborate with clients and negotiate with third partiesStrong drafting skills and the ability to identify, incorporate and improve client-preferred termsCommitment to integrity, excellent interpersonal skills and the ability to lead with empathyStrong project management skills and the ability to coordinate multiple matters simultaneouslyExcellent verbal and written communication skills and high attention to detailWe offer : We welcome new ideas and allow you to make an immediate impact on the teamFlexible Paid time off (PTO for any reason, including sick days (no specified limits) and flexible work schedulePersonal laptopHealth / Sport BudgetFully remote
